END-USER LICENSE AGREEMENT (EULA)

PLEASE READ THIS AGREEMENT CAREFULLY. This End-User License Agreement (“EULA”) governs your use of the TrainPanel software (the “Software”), developed and sold by Corymbus SAS.
By downloading, installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this EULA. If you do not agree to all of these terms, you may not use the Software.
1. Definitions
“Software” refers to the software titled TrainPanel, including all associated documentation, updates, and features provided by Corymbus SAS. “Licensee” refers to the individual or entity that purchases and uses the Software. “Licensor” refers to Corymbus SAS, the copyright and intellectual property owner of the Software. “License Key” refers to the unique identifier provided to the Licensee required to activate the Software.
2. Grant of License
2.1 License Scope. Subject to the terms and conditions of this EULA, the Licensor hereby grants to the Licensee a non-exclusive, non-transferable, revocable license to use the Software solely for the Licensee’s personal, non-commercial purposes of managing miniature train systems.
2.2 Perpetual License. Upon purchase, the Licensee receives a Perpetual License to use the installed version of the Software. This means the right to use the core functionality remains with the Licensee indefinitely, provided the software remains functional and the license is valid.
2.3 Scope of Use. The Software is a standalone, offline desktop application. It does not require an internet connection for core functionality and is intended for use on a private computer owned by the Licensee.
3. Trial Version and Purchase
3.1 Free Evaluation. The Licensor provides a free, one-month evaluation period of the Software. The free evaluation allows the Licensee to test the core features of the Software. This trial is solely for evaluation purposes and grants no right, title, or interest in the Software.
3.2 Purchase and Activation. To gain full, permanent access, the Licensee must purchase a valid license key. Activation requires entering the License Key into the Software.
3.3 Annual Maintenance (Optional). The annual maintenance plan is optional. It is a paid subscription that grants access to: a) Minor bug fixes and patch updates. b) Updates to the Software’s feature set (as determined by the Licensor). c) Technical support services. The Annual Maintenance Plan does not grant ownership of the Software or extend the term of the Perpetual License itself, but rather ensures continued functionality and updates.
4. Restrictions and Prohibited Uses
The Licensee agrees not to do the following:
A. Reverse Engineer: Attempt to decompile, reverse engineer, disassemble, or modify the Software. B. Resell/Redistribute: Copy, rent, distribute, or otherwise transfer the Software to any third party. C. Commercial Use: Use the Software for any commercial purpose, except as explicitly permitted by the Licensor in writing. D. Integrity: Use the Software in any manner that violates its intended purpose or interferes with other software or hardware. E. Tampering: Tamper with the License Key or the core operational files of the Software.
5. Ownership and Intellectual Property
5.1 Ownership. The Licensee acknowledges and agrees that the Software, including all intellectual property rights, copyright, patents, trademarks, and trade secrets, belongs exclusively to Corymbus SAS. Nothing in this EULA grants the Licensee any ownership rights in the Software.
5.2 Documentation. All user manuals, guides, and documentation provided are also the property of the Licensor.
6. Warranty Disclaimer and Limitation of Liability
6.1 “AS IS” Basis. THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.2 Limitation of Liability. IN NO EVENT SHALL THE LICENSOR, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR ANY DAMAGE TO THE LICENSEE’S PHYSICAL PROPERTY, INCLUDING MINIATURE TRAIN EQUIPMENT, TRACKS, OR RELATED HARDWARE) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MAXIMUM LIABILITY: The total aggregate liability of the Licensor to the Licensee for any claim arising out of this Agreement shall be limited to the amount paid by the Licensee for the Software in the twelve (12) months preceding the event giving rise to the claim.
FORCE MAJEURE: The Company shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, acts of war, acts of terrorism, power failure, or severe internet outages.
By installing, downloading, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this End-User License Agreement (EULA).
